Thank you for visiting Selba. Together with our Privacy Policy, these Terms of Use constitute a binding Agreement between ValsyDev LLC and users of Selba. Please read them carefully before accessing or using the Service.
By accessing or using any part of the Service, you acknowledge that you have the legal authority to enter into this Agreement on behalf of yourself or your organization, and you agree to be bound by its terms.
Where you are a consumer resident in Ukraine, the European Union, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer protections that cannot be waived by contract, nothing in this Agreement limits those mandatory rights; Section 14.2 (Governing Law) explains how this interacts with our choice of Delaware law.
1. Definitions
The "Agreement" refers to these Terms of Use, the Privacy Policy, any Data Processing Addendum referenced in Section 7, and any additional operating rules, policies, and procedures that may be published by ValsyDev from time to time.
"ValsyDev," "we," "us," and "our" refer to ValsyDev LLC, a limited liability company organized under the laws of the State of Delaware, United States of America (EIN Number: 30-1452842), with a registered address at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex, USA. ValsyDev's operations, including product, engineering, and support functions, are carried out in part from Ukraine.
"Service" or "Selba" refers to the AI-powered product-card generation and publishing platform, website, and related tools made available by ValsyDev at https://selba.ai.
"Website" refers to all web properties on which Selba operates, including https://selba.ai and its subdomains.
"User," "you," and "your" refer to any individual, company, or organization that visits, accesses, or uses the Website or Service, or that directs the use of an account in the performance of its functions.
A "User" must be at least 13 years of age, or the applicable minimum age of digital consent under the law of their place of residence if higher (for example, 16 in several EU member states unless a lower age validly applies). ValsyDev does not knowingly permit account creation by anyone under the applicable minimum age; see the Children's Privacy section of our Privacy Policy.
"Catalog Data" means any product information, spreadsheets (Excel/CSV), photographs, descriptions, prices, and related content you upload to the Service for the purpose of generating product cards.
"Credits" mean the usage units consumed each time you generate a product card, allocated monthly according to your subscription plan.
"Marketplace" means a third-party e-commerce platform (such as Prom.ua, Rozetka, or Epicentr K) to which you may choose to publish product cards generated through the Service.
A "Subscription" means your selected plan (Free, Basic, or Pro), billed monthly or annually, as selected during registration or in your account settings.
"Володілець персональних даних" / "Data Controller" and "Розпорядник персональних даних" / "Data Processor" are used in this Agreement and the Privacy Policy consistently with, respectively, the Law of Ukraine "On Personal Data Protection" No. 2297-VI (2010) and, where applicable to a given user, the EU General Data Protection Regulation (GDPR); see the Privacy Policy for how each role applies to different categories of data.
2. Description of the Service
Selba is an AI-powered platform that helps online sellers create marketplace-ready product cards. You upload Catalog Data (spreadsheets, CSV files, or product photos), and Selba analyzes the structure of your data, generates structured product descriptions tailored to the formatting requirements of supported Marketplaces, and allows you to review, edit, publish directly to a connected Marketplace account, or export the results to Excel.
The features, plans, and capabilities of the Service are described on the Website and may evolve over time. ValsyDev may modify or enhance the Service from time to time, provided such modifications do not materially degrade its core functionality. We will notify you of material changes that affect your use of a paid Subscription by email or in-app notice at least 14 days before they take effect, except where an immediate change is required for security or legal reasons.
3. Account Terms
3.1 Registration. To use the Service beyond limited free previews, you must create an account by providing your name, email address, phone number, and a password, or by signing up using Google Sign-In. You agree to provide accurate and complete information and to keep it up to date.
3.2 Access to Services. You are solely responsible for providing and maintaining the equipment, software, and internet connectivity required to access and use the Service.
3.3 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. ValsyDev shall not be liable for unauthorized use resulting from your failure to safeguard your credentials. You must promptly notify us of any suspected unauthorized access. ValsyDev employs commercially reasonable technical and organizational safeguards to protect your data, consistent with the Law of Ukraine "On Personal Data Protection," and, where applicable to you, GDPR and CCPA, but does not warrant compliance with any specific certification unless expressly stated in writing.
3.4 Our Breach Notification Obligation. If we become aware of a security incident affecting your personal data or Catalog Data, we will notify you without undue delay and, where required by applicable law, notify the competent supervisory authority within the timeframe that law prescribes.
4. Acceptable Use
4.1 Compliance with Laws and Marketplace Rules. You agree to use the Service in compliance with this Agreement, all applicable laws, and the terms of use of any Marketplace to which you publish generated product cards. You are solely responsible for ensuring that the product information you upload, and the content you publish, complies with the rules of the destination Marketplace (including category restrictions, prohibited items, and content standards) and with applicable consumer-protection and advertising law.
4.2 Conduct Restrictions. You shall not, directly or indirectly:
- Interfere with, disrupt, or compromise the security or integrity of the Service;
- Attempt to gain unauthorized access to any systems, networks, or data;
- Upload or transmit viruses, malware, or malicious code;
- Upload Catalog Data (including photos or descriptions) that you do not have the right to use, or that infringes a third party's intellectual property or other rights;
- Upload photographs depicting an identifiable individual without that individual's consent to such use;
- Use automated means to create multiple free-tier accounts in order to circumvent Credit limits;
- Reverse engineer, decompile, or disassemble any component of the Service;
- Use the Service to build a competing product;
- Remove or obscure proprietary notices;
- Engage in any activity not expressly authorized under this Agreement.
Violation of this section is a material breach of this Agreement and may result in suspension or termination of your account without refund.
5. Credits, Plans, and Generation
5.1 Credit System. Each product-card generation consumes Credits from your monthly allowance, as described on our Pricing page. The Free plan includes a limited number of Credits and generations for evaluation purposes and does not require payment information. Paid plans (Basic, Pro) include a larger monthly Credit allowance and additional features such as priority or video support and higher generation speed, as described on the Website at the time of your Subscription.
5.2 Failed Generations. If a generation attempt fails due to a technical error on our side, the Credits consumed by that attempt will be returned to your account balance. Credits are not refunded for generations that complete successfully but do not meet your subjective expectations as to content quality; you may edit or regenerate using additional Credits.
5.3 Plan Changes. You may upgrade, downgrade, or cancel your Subscription at any time through your account settings. Changes to your Credit allowance take effect according to the billing cycle described on the Website at the time of the change.
6. Payment Terms
6.1 Pricing. Fees are based on the pricing published on the Website at the time of your Subscription, billed either monthly or annually (with the discount indicated on the Pricing page for annual billing). Fees may change; we will notify you in advance of any change applicable to a future renewal period.
6.2 Authorization and Billing. By subscribing to a paid plan, you authorize ValsyDev (via our payment processor) to charge your selected payment method on a recurring basis according to your chosen billing cycle. If a payment is declined, we may suspend access to paid-tier features until payment is resolved.
6.3 Refunds. Subscription fees are non-refundable once charged, except where required by applicable law. Unused Credits do not carry a cash value and are not refundable upon cancellation, except as described in Section 5.2.
6.4 Cancellation. You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date, after which your account reverts to the Free plan (if available) or is deactivated.
7. Catalog Data, Generated Content, and Intellectual Property
7.1 Your Catalog Data. You retain ownership of the Catalog Data you upload (product descriptions, prices, images, and related content). You represent that you own or have the necessary rights to upload and use this content, including any product photographs, and that it does not infringe third-party rights.
7.2 License to ValsyDev. You grant ValsyDev a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, and transmit your Catalog Data solely to provide the Service — including processing it through AI models to generate product cards and, where you authorize it, publishing it to a connected Marketplace account.
7.3 Use of Data to Improve or Train Our AI Models. Where you have not opted out in your account settings, ValsyDev may use your Catalog Data, in anonymized or aggregated form, to evaluate, improve, and fine-tune the AI models underlying the Service, including our own fine-tuned model. We do not use identifiable personal data embedded in your Catalog Data for this purpose. You may opt out of this use at any time in your account privacy settings without affecting your ability to use the Service; opting out does not retroactively remove any effect already incorporated into a previously trained model version. 7.4 Generated Content. Subject to your compliance with this Agreement and full payment of applicable Fees, you own the product card content generated for you through the Service. Selba does not guarantee that AI-generated descriptions are free of errors, and you are responsible for reviewing generated content for accuracy and compliance with applicable law and Marketplace rules before publishing.
7.5 Selba Technology. The underlying Service — including the generation engine, website, interfaces, and documentation (the "Technology") — is owned by or licensed to ValsyDev. No rights to the Technology are transferred to you beyond the right to use the Service as permitted by this Agreement.
8. Marketplace Integrations
Selba may allow you to connect third-party Marketplace accounts (e.g., Prom.ua, Rozetka, Epicentr K) to publish generated product cards directly. By connecting a Marketplace account, you authorize ValsyDev to transmit your Catalog Data and generated content to that Marketplace on your behalf. You acknowledge that:
- Marketplace connections may only be used for accounts you own or are authorized to manage;
- Your use of any Marketplace remains subject to that Marketplace's own terms of service and policies, over which ValsyDev has no control;
- ValsyDev is not responsible for actions taken by a Marketplace regarding content you publish through it, including listing rejections, suspensions, or policy enforcement.
9. Service Commitment and Support
ValsyDev uses commercially reasonable efforts to maintain reliable uptime for the Service, excluding scheduled maintenance and events beyond our reasonable control. Support is available via email and Telegram; paid-plan users receive priority or video support as described on the Pricing page. ValsyDev provides the Service "as is" and "as available" and disclaims all warranties not expressly stated in this Agreement, to the extent permitted by applicable law.
10. Confidential Information
"Confidential Information" means any nonpublic information disclosed by one party to the other that is marked or reasonably understood to be confidential, including business plans, pricing arrangements, and technical data. It does not include information that was already known to the recipient, becomes public without breach, is independently developed, or is lawfully received from a third party. Each party will protect the other's Confidential Information with reasonable care and disclose it only to those who need it for legitimate business purposes and are bound by confidentiality obligations. These obligations survive termination of this Agreement.
11. Data Protection
ValsyDev processes personal data in accordance with our Privacy Policy and applicable data protection laws, including the Law of Ukraine "On Personal Data Protection" No. 2297-VI (2010) and, where applicable to a given user, the GDPR and CCPA. ValsyDev acts as a data controller (володілець) with respect to Account, Contact, and Financial Data, and as a data processor (розпорядник) with respect to any third-party personal data embedded within your Catalog Data, and you remain responsible, as the party providing that content, for ensuring you have a lawful basis to upload it. A list of categories of sub-processors we use is available in the Privacy Policy.
12. Limitations of Liability
To the maximum extent permitted by law:
- ValsyDev is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business, arising from this Agreement or your use of the Service;
- ValsyDev is not liable for losses arising from your reliance on AI-generated content without review, from Marketplace decisions regarding published listings, or from inaccuracies in Catalog Data you supplied;
- ValsyDev's total aggregate liability under this Agreement shall not exceed the greater of (a) the total Fees paid by you in the twelve (12) months preceding the claim, or (b) where you are a consumer and applicable mandatory consumer-protection law of your place of residence sets a higher floor, that statutory floor;
- These limitations do not apply to liability arising from gross negligence, willful misconduct, personal injury, or data protection violations, and do not limit any right you have under mandatory consumer-protection law that cannot be waived by contract.
13. Representations, Warranties, and Indemnification
13.1 By You. You represent that you have the authority to enter this Agreement; that your use of the Service, your Catalog Data, and your published content comply with applicable law and Marketplace rules; and that you own or have the necessary rights to any content you upload.
13.2 By ValsyDev. ValsyDev represents that it has the right to provide the Service, and that the Service, used in accordance with this Agreement, will not infringe third-party intellectual property rights.
13.3 Indemnification by You. You agree to indemnify and hold harmless ValsyDev, its affiliates, officers, and employees from claims arising from your use of the Service, your Catalog Data or generated content, your violation of this Agreement, or your violation of applicable law or a Marketplace's terms.
13.4 Indemnification by ValsyDev. ValsyDev will defend you against claims that the Service itself (excluding your Catalog Data or generated content derived from it) infringes a valid U.S. patent or copyright, provided you promptly notify us and cooperate in the defense.
14. Miscellaneous
14.1 Assignment. ValsyDev may assign this Agreement without restriction. You may not assign this Agreement without ValsyDev's prior written consent.
14.2 Governing Law. This Agreement is governed by the laws of the State of Delaware, United States of America, excluding conflict-of-law principles, for all matters other than those described below. Where you are a consumer resident in Ukraine, the European Union, the United Kingdom, or another jurisdiction with mandatory consumer-protection law, (a) the mandatory consumer-protection and, where applicable, personal-data-protection law of your place of residence applies in addition to, and to the extent of any conflict prevails over, the choice of Delaware law; and (b) you may bring proceedings in the courts of your place of residence where that law entitles you to do so, notwithstanding any other provision of this Agreement.
14.3 Export Compliance. You agree to comply with all applicable U.S. and international export control and sanctions laws in your use of the Service.
14.4 Force Majeure. ValsyDev is not liable for delays or failures caused by events beyond its reasonable control, including outages of third-party AI providers, Marketplace platforms, hosting infrastructure, or governmental restrictions.
14.5 Notices. Legal notices may be sent by email to your registered address or via the Service. You may send notices to: accounts@valsydev.com.
14.6 Severability and Waiver. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a right is not a waiver of that right.
14.7 Entire Agreement. This Agreement and the Privacy Policy constitute the entire understanding between you and ValsyDev regarding Selba and supersede prior agreements relating to the Service. Amendments must be made in writing.
